In part one he looked at when the UK Takeover Code applies and why the jurisdiction of the code is of importance. He discussed the central management and control test, the numbers of international companies on AIM and the protections that will be lost when the code does not apply. Finally he started analysing orphan companies.
In this part (part 2), he continues looking at orphan companies and the articles that such a company have. He then examines how an agreement for non- code offers is implemented and finally what the future holds for this area of law.
