This CPDcast aims to provide the listener with an insight into the impact of the Companies Act 2006 on charitable companies.
In this CPDcast, Francesca Quint from Radcliffe Chambers examines the impact of the Companies Act 2006 on incorporated charities. Francesca looks firstly at the changes to director's duties which are already in force, including the duty to avoid conflicts of interest and the duty to exercise independent judgment. She looks at how these changes interrelate with a trustee's duties and highlights key areas of interest for charitable companies.
Finally, Francesca analyses the changes which will come into force on 1st October 2009, including the removal of the requirement for a Company Secretary and the changing company models for charities.
