This podcast aims to examine the extent of a director’s duties when he is a director of a joint venture company. It will address how any potential conflicts can be managed and whose interests a director has a duty to protect.
- Outcomes:
- After completing the course you will:
- Understand the differences that arise between the duties of a director of a joint venture company and the duties of a normal director;
- Understand the potential for conflicts of interest to arise and how such conflicts might be managed;
- Understand what the ‘duty to promote the success of the company’ means in the context of a joint venture;
- Be aware that the duty to act with an independent judgment can often cause difficulties in a joint venture when board appointees are placed to look after sectional interests;
- Be aware how potential breaches of duty can be authorised;
- Be aware of a director’s duty of confidentiality to his company;
- Understand the director’s duties in relation to a company’s insolvency and how assumed lines of responsibility can become distorted in this situation;
- Understand what a shadow director is and be aware of their position in a joint venture context.
